NDC Announces Hiring of New CEO to Succeed Retiring CEO Jim Stover

NASHVILLE, TN, July 22, 2005 — The Board of Directors of National Distribution & Contracting, Inc. (NDC) and CEO Jim Stover announce the hiring of Mark T. Seitz, Esq. to succeed Stover upon his retirement December 31, 2005. Seitz, who has served the corporation as outside legal counsel since 1993, will join the organization effective September 1, 2005 as President and Chief Operating Officer. Jim Stover will continue in his role as CEO until his retirement at which time Seitz will assume that position.

Seitz will lead the Executive Management Committee comprised of Senior Vice Presidents, Gary Skura and Scott Tubandt and Chief Financial Officer Jack Vannatta.
